Provider Terms of Service
Provider Terms of Service and Provider Participation Agreement between Constella AI Technologies, Inc. and any professional, salon, spa, medspa, or business participating on the Constella platform.

These Provider Terms of Service and Provider Participation Agreement are entered into by and between Constella AI Technologies, Inc., a Virginia corporation (referred to as "Constella," "Constella AI," "Company," "we," "us," or "our"), and the individual or business registering, applying, listing, advertising, receiving leads, receiving bookings, using provider tools, creating a provider profile, or otherwise participating on the Constella platform (referred to as "Provider," "you," or "your").
These Provider Terms apply to your access to and use of Constella's websites, applications, dashboards, software, provider profiles, marketplace listings, AI tools, booking tools, analytics, marketing tools, communications tools, photo tools, product recommendation systems, client matching systems, and provider growth features, including but not limited to:
- Constella AI
- Constella Orbit
- Beauty Passport
- Constella Match AI
- LashMatch AI
- BrowMatch AI
- WaxMatch AI
- SkinMatch AI
- GlowMatch AI
- MedSpaMatch AI
- BridalMatch AI
- Any other current or future Constella product, marketplace, feature, vertical, service, or software tool
By creating a Provider account, submitting a Provider application, accepting leads, creating a listing, uploading content, using Constella Orbit, communicating with Clients, receiving bookings, or clicking "I Agree," you agree to these Provider Terms. If you do not agree, do not use the Provider Services.
1. Relationship to Other Constella Terms
These Provider Terms supplement and are incorporated into:

- Constella Privacy Policy
- Constella Client Terms
- Constella Biometric / Visual Analysis Consent Policy
- Constella Photo, Likeness, Testimonial, and Before/After Release
- Constella AI Matching Disclosure
- Constella Product Recommendation Disclosure
- Constella Community Guidelines
- Constella Subscription Terms
- Constella Data Processing Addendum, if applicable
- Any order form, fee schedule, onboarding form, or written agreement signed by Constella
If there is a conflict between these Provider Terms and the general Platform Terms, these Provider Terms control for Provider-specific matters.
2. Important Notice
Constella is a technology platform. Constella does not employ you, supervise your professional services, guarantee your work, control your professional judgment, provide your services, or assume responsibility for your acts or omissions.
You are solely responsible for your services, business, licenses, insurance, taxes, legal compliance, client intake, client safety, advertising claims, pricing, service delivery, refunds where applicable, professional judgment, and client outcomes.
3. Definitions
"Client" means a person using Constella to search for, match with, book, communicate with, review, or purchase from a Provider.
"Provider" means any independent beauty professional, lash artist, brow artist, wax specialist, esthetician, skincare professional, salon, spa, medspa, aesthetic provider, bridal beauty professional, wellness provider, product brand, merchant, studio, clinic, or business using or appearing on Constella.
"Provider Services" means the services, products, consultations, appointments, packages, subscriptions, memberships, and offerings a Provider markets, lists, sells, or performs.
"Constella Services" means the software, marketplace, AI matching tools, provider dashboard, marketing tools, client discovery tools, booking tools, data tools, and other technology services provided by Constella.
"Constella Orbit" means the provider-facing dashboard and business growth platform.
"Beauty Passport" means the client-side personalization profile.
"Constella Match AI" means the AI-assisted matching, ranking, recommendation, personalization, and provider discovery engine.
"Provider Content" means all content submitted, uploaded, posted, displayed, transmitted, or made available by Provider, including business name, logo, photos, videos, service menu, prices, provider bios, portfolio images, before-and-after images, treatment photos, testimonials, reviews, certifications, licenses, claims, captions, social links, booking links, availability, product recommendations, and communications.
"Client Data" means personal information, preferences, service history, booking details, communications, Beauty Passport information, photos, visual data, or other information relating to a Client.
4. Provider Eligibility
To use the Provider Services, you represent and warrant that:
- You are at least 18 years old.
- You have authority to bind the Provider business.
- All information you provide is accurate, complete, and current.
- You are legally authorized to offer the services you list.
- You hold all required licenses, permits, registrations, certifications, and approvals.
- You will comply with all applicable laws, rules, regulations, professional standards, and platform policies.
- You are not barred from using the Services.
- You have not previously been suspended or removed by Constella unless reinstated in writing.
Constella may accept, reject, suspend, verify, investigate, or remove any Provider at its sole discretion.
5. Independent Provider Status
Provider is an independent business and not an employee, agent, partner, franchisee, joint venturer, representative, legal representative, fiduciary, or contractor of Constella.
Nothing in these Provider Terms creates an employment relationship, agency relationship, partnership, franchise, joint venture, medical practice relationship, professional corporation relationship, or fiduciary duty.
Provider has sole control over: professional judgment; service performance; client intake; pricing (unless platform promotions apply); scheduling; tools and products used; work location; professional protocols; client communications; safety practices; refunds (unless otherwise agreed); taxes; insurance; staffing; licenses; and legal compliance.
Constella may set platform rules, quality standards, eligibility requirements, content guidelines, user safety rules, and technical requirements without creating an employment or agency relationship.
6. No Guarantee of Leads, Bookings, Revenue, Ranking, or Results
Constella does not guarantee leads, bookings, revenue, profile views, search ranking, match ranking, client conversion, client satisfaction, client retention, product sales, social media growth, business growth, provider profitability, verification approval, platform availability, exclusive territory, or featured placement.
Any projections, examples, pilot estimates, case studies, testimonials, or marketing statements are illustrative only and not guarantees.
7. Provider Responsibilities
Provider is solely responsible for all services offered or performed; all product recommendations made by Provider; all client consultations, intake forms, informed consents, contraindication screening, and patch testing where appropriate; all sanitation and safety protocols; all tools, supplies, adhesives, products, devices, and equipment; all staff and contractors; all training and supervision; all licensing and regulatory compliance; all client complaints relating to Provider Services; all refunds or remedies required by law or Provider policy; all taxes; all insurance; all professional advertising claims; all photos and client content uploaded by Provider; all communications with Clients; and all compliance with privacy, biometric, health data, consumer protection, advertising, and professional rules.
8. Licenses, Certifications, and Legal Compliance
Provider represents and warrants that it holds and will maintain all required business licenses; professional licenses; cosmetology licenses; esthetician licenses; salon licenses; medspa licenses; medical licenses, if applicable; nursing licenses, if applicable; laser certifications, if applicable; injector credentials, if applicable; health department permits, if applicable; local business registrations; tax registrations; insurance policies; professional approvals; facility permits; and staff credentials.
Provider must immediately notify Constella if any required license, permit, certification, insurance policy, medical supervision arrangement, professional authorization, or business registration is suspended, revoked, restricted, expired, investigated, disciplined, or not renewed. Constella may require proof at any time.
9. Insurance Requirements
Provider must maintain insurance appropriate for its business and services, including where applicable: general liability insurance; professional liability insurance; errors and omissions insurance; malpractice insurance for medical or aesthetic services; product liability coverage; workers' compensation coverage where required; cyber/privacy coverage if handling Client Data; automobile coverage if travel services are offered; and property coverage if clients visit Provider premises.
Provider must provide certificates of insurance upon request. Constella may require minimum coverage amounts before allowing certain Provider categories, including medspa, injectables, laser, chemical peel, microneedling, body contouring, or other regulated services. Provider's failure to maintain insurance is a material breach.
10. MedSpa, Medical Aesthetic, and Regulated Services
If Provider offers medspa, medical aesthetic, injectable, laser, body contouring, chemical peel, microneedling, prescription, device-based, or other regulated services, Provider is solely responsible for compliance with all applicable medical, nursing, corporate practice of medicine, delegation, supervision, prescription, facility, advertising, consent, privacy, and professional rules.
Provider represents and warrants that all regulated services are performed by properly licensed and authorized personnel; all required medical director, supervising physician, or professional oversight arrangements are valid; all client consent forms are legally sufficient; all contraindication screening is performed by qualified personnel; all adverse event and emergency protocols are maintained and appropriate; all medical records are handled according to applicable law; and all before-and-after, treatment, and advertising claims are truthful, properly substantiated, and compliant with professional rules.
Constella does not provide medical services, supervise medical services, or make clinical decisions.
11. HIPAA, Consumer Health Data, and Sensitive Data
Provider is solely responsible for determining whether its activities involve protected health information, medical records, consumer health data, biometric data, or other regulated sensitive information.
Provider must not upload protected health information, medical records, patient charts, prescription information, treatment records, diagnosis information, or highly sensitive health information to Constella unless Constella has expressly authorized such use and any required agreement is in place.
Provider acknowledges that certain state laws may regulate consumer health data even outside HIPAA, including Washington's My Health My Data Act. Provider must comply with all applicable HIPAA, state privacy, biometric, consumer health data, medical record, and professional confidentiality obligations.
12. Provider Profile and Listing Information
Provider must ensure that all listing information is accurate, current, lawful, and not misleading. Provider profile information may include business name, provider name, location, service area, phone number, email, website, booking link, social media accounts, services, pricing, availability, photos, certifications, licenses, portfolio, reviews, specialties, products, policies, cancellation terms, and refund policies.
Provider must promptly update inaccurate or outdated information. Constella may edit, format, categorize, reject, remove, or supplement Provider listings for clarity, consistency, compliance, safety, quality, search optimization, or platform performance.
13. Services, Pricing, Availability, and Policies
Provider is responsible for ensuring that listed services are actually offered; prices and availability are accurate; service descriptions are truthful; cancellation, refund, deposit, no-show, and late fee policies are clearly stated; client eligibility restrictions, contraindications, and aftercare requirements are disclosed where appropriate; and travel fees, add-ons, taxes, and surcharges are disclosed.
Provider must honor bookings, prices, discounts, and policies displayed to Clients unless a correction is required by law or Constella approves a correction.
14. Client Intake, Safety, and Consent
Provider is solely responsible for client intake and consent. Provider must obtain all necessary client information before performing services, including where appropriate: allergies; sensitivities; medical, skin, and eye conditions; pregnancy status where relevant; medications; prior adverse reactions; contraindications; recent cosmetic or medical procedures; patch test results; service expectations; informed consent; release forms; and aftercare acknowledgment.
Provider must not rely solely on Constella's AI recommendations or Beauty Passport information for professional decisions. Provider must use independent professional judgment.
15. Photos, Videos, Portfolio Images, and Before-and-After Content
Provider may not upload, submit, display, or use any Client photo, video, likeness, testimonial, review, before-and-after image, treatment photo, portfolio image, or service result unless Provider has obtained all required consents, permissions, and releases.
Provider represents and warrants that it has written or electronic permission to upload the content; has permission to use the content on Constella; has permission for portfolio and marketing use if applicable; has permission for before-and-after use if applicable; has permission from every identifiable person shown; that content involving minors has proper legal guardian consent and Constella approval if required; that content does not violate privacy, publicity, biometric, health data, intellectual property, medical confidentiality, or professional rules; that content is truthful and not materially misleading; that content is not stolen, fake, AI-generated to misrepresent results, or deceptively edited; and that Provider can produce proof of consent upon request.
Constella may remove any content at any time.
16. Biometric and Visual Analysis Compliance
Provider must comply with Constella's Biometric / Visual Analysis Consent Policy. Provider may not upload facial images, eye images, lash images, brow images, skin images, treatment images, or other visual data of a Client unless Provider has all required legal rights and consent.
Provider acknowledges that some jurisdictions regulate face geometry, biometric identifiers, biometric information, and image-derived data, including Illinois BIPA. Provider must not use Constella to collect, process, or share biometric or visual data unlawfully. Provider is solely responsible for any biometric, visual data, or photo consent violation caused by Provider's upload, use, or failure to obtain permission.
17. Reviews, Ratings, Testimonials, and Endorsements
Provider must comply with all review, testimonial, endorsement, consumer protection, and advertising laws, including the FTC's Consumer Reviews and Testimonials Rule.
Provider may not: create, purchase, or sell fake reviews; post reviews from fake accounts; post reviews by insiders without clear disclosure; suppress negative reviews unlawfully; threaten Clients over honest reviews; condition refunds on removal of reviews where prohibited; use misleading testimonials; misrepresent typical results; use undisclosed paid endorsements; use AI-generated fake reviews; or manipulate ratings, rankings, or review signals.
Constella may remove, label, restrict, investigate, or report suspicious reviews.
18. Advertising and Claims
Provider is solely responsible for all claims made in Provider Content, communications, consultations, social media, advertisements, product recommendations, before-and-after captions, service descriptions, and profile materials.
Provider must ensure all claims are truthful; not misleading; properly substantiated; compliant with professional rules; compliant with consumer protection and advertising law; compliant with product labeling and FDA/FTC rules where applicable; not medical claims unless legally permitted and substantiated; and not guaranteed results unless Provider can legally support the guarantee.
Provider may not claim that Constella endorses, certifies, medically approves, clinically validates, supervises, or guarantees Provider's services unless Constella expressly states so in writing.
19. Constella Verified, Badges, Rankings, and Match Scores
Constella may offer badges, rankings, recommendations, match scores, verification, specialty labels, profile grades, or other designations, including Constella Verified, Top Match, High Retention Provider, Sensitive Skin Friendly, Lash Specialist, Brow Specialist, MedSpa Provider, Bridal Beauty Provider, Portfolio Verified, Client Favorite, and Founding Provider.
Constella may modify, revoke, suspend, remove, or deny any badge, ranking, recommendation, or designation at any time. Badges and match scores are not guarantees of quality, licensure, safety, legality, outcomes, or client satisfaction. Provider may not use a badge or designation after it expires, is revoked, or is removed.
20. AI Tools, Artist DNA, and Provider Analytics
Constella may provide AI tools, analytics, profile insights, Artist DNA, match factors, ranking insights, portfolio analysis, content suggestions, pricing insights, product insights, or growth recommendations.
Provider understands and agrees that AI outputs may be inaccurate or incomplete; analytics are estimates; match scores are not guarantees; content suggestions require Provider review; Provider remains responsible for all published content and professional decisions; Constella may test, modify, or discontinue AI features; and Constella does not guarantee business performance from AI tools.
Provider must not present AI-generated suggestions as professional, medical, legal, financial, or guaranteed advice.
21. Client Data Use
Provider may use Client Data only to provide services requested by the Client, communicate about bookings, comply with law, resolve disputes, and perform legitimate Provider obligations.
Provider may not sell, rent, or share Client Data with unauthorized parties; use Client Data for unrelated marketing without consent; export Client Data to build a competing platform; scrape Client Data; use Client Data to harass or spam Clients; use Client photos without consent; use Client Data after account termination except as legally required; upload Client Data into unauthorized AI tools; or use Client Data for discriminatory purposes.
Provider must protect Client Data with reasonable safeguards.
22. Communications With Clients
Provider communications must be professional, lawful, and related to legitimate services. Provider may communicate with Clients through approved Constella tools or other methods authorized by the Client.
Provider must comply with email, SMS, telemarketing, privacy, and consent laws, including obtaining prior express invitation or permission before sending marketing texts. Provider may not send spam, deceptive messages, unlawful marketing texts, unauthorized promotional emails, or harassing communications. Provider is solely responsible for communication compliance.
23. No Circumvention
Provider may not use Constella to identify, solicit, or acquire Clients and then intentionally avoid Constella's platform fees, subscriptions, booking systems, payment systems, lead fees, commission structures, or marketplace protections.
Provider may not direct Clients away from Constella to avoid fees; offer off-platform discounts to avoid Constella fees; move bookings off-platform after a Constella match unless permitted; use Constella leads to build a competing database; scrape or copy Client information; create fake accounts to access Client leads; or misrepresent booking source.
Constella may charge applicable fees, suspend or terminate Provider, withhold payouts, or seek damages for circumvention.
24. Payments, Fees, Payouts, and Taxes
Provider agrees to pay all fees disclosed in any order form, dashboard, onboarding flow, subscription plan, fee schedule, or written agreement. Fees may include subscription fees; marketplace commissions; lead fees; booking fees; payment processing fees; verification fees; featured placement fees; advertising fees; Constella Orbit fees; AI tool fees; website or marketing add-on fees; product marketplace fees; cancellation/no-show processing fees; chargeback fees; and administrative fees.
Provider authorizes Constella and its payment processors to collect fees, deduct amounts from payouts, charge payment methods, offset amounts owed, and process payments according to applicable terms.
Provider is solely responsible for all taxes, including income tax, sales tax, use tax, gross receipts tax, payroll tax, self-employment tax, and local taxes. Constella may issue tax forms where required.
25. Chargebacks, Payment Disputes, and Fraud
Provider is responsible for chargebacks, payment disputes, fraud claims, refund disputes, or unauthorized transaction claims related to Provider Services, unless caused solely by Constella's error.
Constella may withhold payouts, offset amounts owed, require documentation, suspend Provider payments, charge fees, reverse payments, recover losses, or terminate Provider access. Provider must cooperate with payment dispute investigations.
26. Cancellations, Refunds, No-Shows, and Client Disputes
Provider must clearly disclose and honor cancellation, refund, no-show, late-arrival, and rescheduling policies.
Provider is solely responsible for Client disputes related to service quality, service outcome, Provider cancellation, Provider no-show, Client no-show, refunds, adverse reactions, injuries, miscommunications, pricing disputes, professional conduct, facility issues, products used by Provider, and Provider staff. Constella may assist with dispute communication but has no obligation to resolve Provider-client disputes.
27. Products, Affiliate Revenue, and Brand Partnerships
Provider may recommend or sell products through Constella only if authorized. Provider is responsible for ensuring all product recommendations, claims, and sales comply with applicable laws.
Provider may not make unsupported claims about skincare, lash growth, hair growth, weight loss, acne, anti-aging, medical treatment, disease treatment, or health outcomes. If Provider participates in affiliate, revenue-share, wholesale, sponsored, or brand campaigns, Provider must comply with disclosure requirements and Constella policies.
Constella may receive revenue from product sales, affiliate links, brand partnerships, sponsorships, advertising, and commerce integrations.
28. Confidentiality
Provider may receive confidential or proprietary information from Constella, including client matching logic; provider analytics; platform data; pricing experiments; product roadmap; AI tools; ranking criteria; business methods; technical information; marketing strategy; investor materials; provider and client performance insights; beta features; and non-public commercial terms.
Provider must protect confidential information and may not disclose or use it except to perform under these Provider Terms. This obligation survives termination.
29. Intellectual Property
Constella owns all rights in its platform, software, AI systems, algorithms, designs, trademarks, branding, databases, dashboards, workflows, analytics, match logic, user interfaces, and technology.
Provider receives a limited, revocable, non-exclusive, non-transferable license to use the Provider Services only as permitted by Constella.
Provider may not copy or reverse engineer the platform; scrape data; train competing models using Constella data; use Constella branding without permission; misuse Constella trademarks; create derivative platforms from Constella technology; access source code; or interfere with security. Provider grants Constella a license to use Provider Content as described below.
30. License to Provider Content
Provider grants Constella a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, modify, format, excerpt, promote, advertise, analyze, and otherwise use Provider Content to operate the platform; display Provider profiles; promote Provider listings; generate matches; improve search and ranking; create marketplace pages and marketing materials; support client discovery; support AI features; improve Constella services; display portfolios and authorized before-and-after content; generate Provider analytics; support product recommendations; and support investor, sales, and business presentations.
Provider represents that it has all rights needed to grant this license.
31. Provider Marks and Publicity
Provider grants Constella the right to use Provider's name, business name, logo, trademarks, service marks, photos, profile, and public business information to identify Provider as a participating Provider and to promote Constella.
Provider may not use Constella's name, logo, trademarks, screenshots, badges, or platform materials except as authorized. Provider must stop using Constella branding immediately upon termination or upon request.
32. Data Security
Provider must maintain reasonable administrative, technical, and physical safeguards to protect Client Data and Constella confidential information.
Provider must promptly notify Constella of any unauthorized access, loss, breach, misuse, or disclosure involving Client Data obtained through Constella at security@constellamatch.com. Provider may be required to cooperate with incident response, notices, regulatory inquiries, and remediation. Provider is responsible for breaches caused by Provider, Provider staff, Provider systems, or Provider vendors.
33. Prohibited Conduct
Provider may not: violate law; provide services without required license; misrepresent qualifications; upload unauthorized client photos; post fake reviews; manipulate rankings; harass or discriminate against Clients; send unlawful marketing messages; circumvent fees; scrape data; reverse engineer the platform; use Client Data for unauthorized purposes; make false claims; offer unsafe or unlawful services; sell counterfeit products; upload malware; create fake accounts; impersonate another business; use Constella for adult sexual services, illegal products, or prescription products unless expressly authorized and legally compliant; violate professional rules; or damage Constella's reputation.
34. Suspension, Removal, and Termination
Constella may suspend, restrict, remove, downgrade, hide, or terminate Provider access at any time if Constella believes Provider violated these Provider Terms; created legal or safety risk; misused Client Data; uploaded unauthorized content; lacks required licensing; received serious complaints; engaged in fraud; manipulated reviews; circumvented fees; failed to pay fees; provided unsafe services; violated privacy laws; damaged Constella's reputation; created platform risk; or acted inconsistently with Constella's business interests.
Constella may remove Provider listings without liability. Provider may terminate participation by following the cancellation process, subject to payment obligations and survival provisions.
35. Effect of Termination
Upon termination: Provider access may be disabled; Provider listings may be removed; Provider badges may be revoked; Provider must stop using Constella branding; Provider must stop using Client Data except as legally required; outstanding fees remain due; Constella may retain records as required or permitted by law; and Constella may retain content where licensed, de-identified, archived, legally required, or needed for dispute resolution.
Sections concerning fees, confidentiality, intellectual property, content licenses, data protection, indemnification, limitation of liability, dispute resolution, and survival continue after termination.
36. Provider Representations and Warranties
Provider represents and warrants that Provider has authority to enter these Terms; Provider information is accurate; Provider is properly licensed; Provider will maintain insurance; Provider services are lawful; Provider content is authorized; Provider has consent for all uploaded client images; Provider will comply with privacy, biometric, consumer health data, advertising, review/testimonial, and professional laws; Provider will not misuse Client Data; Provider will not infringe third-party rights; Provider will not make misleading claims; and Provider will not harm Constella's reputation.
37. Disclaimer of Warranties
The Provider Services are provided "as is," "as available," and "with all faults."
Constella disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, compatibility, uninterrupted service, and error-free operation.
Constella does not warrant that Provider will receive leads, bookings, or revenue; Provider will rank highly; AI tools will be accurate; Client information will be complete; platform features will remain available; Client communications will result in bookings; Client reviews will be positive; or the platform will meet Provider's expectations.
38. Limitation of Liability
To the fullest extent permitted by law, Constella and its officers, directors, employees, contractors, affiliates, investors, service providers, licensors, successors, and assigns will not be liable for indirect, incidental, consequential, special, exemplary, punitive, enhanced, lost-profit, lost-revenue, lost-data, lost-goodwill, reputational, business interruption, or similar damages.
To the fullest extent permitted by law, Constella's total liability arising out of or relating to these Provider Terms or the Provider Services will not exceed the greater of: (a) the amount Provider paid directly to Constella in the three months before the event giving rise to the claim; or (b) one hundred dollars ($100).
This limitation applies regardless of legal theory, even if Constella was advised of possible damages.
39. Provider Indemnification
Provider agrees to defend, indemnify, and hold harmless Constella and its officers, directors, employees, contractors, affiliates, investors, licensors, service providers, payment processors, successors, and assigns from and against all claims, demands, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses, including attorneys' fees, arising out of or relating to:
- Provider Services, acts, omissions, negligence, or professional malpractice
- Provider licensing or regulatory violations
- Provider advertising claims, product recommendations, products, tools, supplies, devices, or facilities
- Client injuries, adverse reactions, allergic reactions, infections, burns, scarring, aesthetic or service dissatisfaction
- Provider cancellations, no-shows, refund disputes, chargebacks, and tax obligations
- Provider Content, unauthorized photos, and unauthorized before-and-after images
- Biometric, visual data, privacy, consumer health data, HIPAA, TCPA/SMS/email marketing violations
- Fake reviews or testimonials
- Intellectual property infringement
- Discrimination or harassment
- Misuse of Client Data and no-circumvention violations
- Breach of these Provider Terms
Constella may assume exclusive defense and control of any matter subject to indemnification. Provider must cooperate.
40. Release of Constella
Provider releases Constella from claims arising out of or relating to Client behavior, cancellations, no-shows, reviews, complaints, payment disputes, chargebacks, or dissatisfaction; platform ranking and match scores; lost leads, bookings, or profits; Provider-client disputes; third-party services and payment processor issues; and Provider's own services, content, and legal obligations.
41. Dispute Resolution, Arbitration, and Class Action Waiver
Except for excluded claims, any dispute arising out of or relating to these Provider Terms or the Provider Services will be resolved by binding individual arbitration administered by the American Arbitration Association or another mutually agreed arbitration provider.
Provider and Constella waive the right to a jury trial. Provider and Constella agree that disputes will be brought only on an individual basis and not as a class, collective, consolidated, private attorney general, or representative action.
Excluded claims include intellectual property claims; confidentiality claims; data misuse claims; unauthorized scraping claims; non-circumvention claims; emergency injunctive relief; small claims matters that qualify; and claims that cannot legally be arbitrated.
42. Governing Law and Venue
These Provider Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law rules. For claims not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Fairfax County, Virginia (or such other county in the Commonwealth of Virginia where Constella maintains its principal place of business).
43. Changes to Provider Terms
Constella may update these Provider Terms from time to time. Constella may provide notice by email, dashboard notice, website notice, or other reasonable means.
Continued use of the Provider Services after updated terms become effective constitutes acceptance. If Provider does not agree to updated terms, Provider must stop using the Provider Services.
44. Assignment
Provider may not assign or transfer these Provider Terms without Constella's prior written consent. Constella may assign these Provider Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, affiliate transfer, or operation of law.
45. Notices
Constella may provide notices by email, dashboard notice, in-app message, website posting, or mail. Provider must keep contact information current.

46. Entire Agreement
These Provider Terms, together with incorporated policies and any applicable order form or written agreement, constitute the entire agreement between Provider and Constella regarding Provider's use of the Provider Services.
If any provision is unenforceable, the remaining provisions remain in effect. Constella's failure to enforce a provision is not a waiver. Headings are for convenience only.
Provider Onboarding Certification
Provider must agree to the following during onboarding:
I certify that I am legally authorized to offer the services listed on Constella. I hold all required licenses, permits, certifications, registrations, approvals, and insurance required for my services and location. I agree to keep all business, service, pricing, availability, policy, license, insurance, and contact information accurate and updated.
I understand that Constella AI Technologies, Inc. is a technology platform and does not employ me, supervise my services, guarantee my results, or assume responsibility for my professional judgment, services, client outcomes, licensing, insurance, taxes, compliance, or business operations.
I agree to comply with the Constella Provider Terms of Service, Platform Terms, Privacy Policy, Biometric / Visual Analysis Consent Policy, Photo and Before/After Release, and all applicable laws and professional rules.
Provider Photo / Before-After Certification
I certify that I have obtained all required permissions, releases, and consents to upload and use every photo, video, before-and-after image, treatment image, testimonial, review, likeness, or client result I submit to Constella.
I certify that the content is truthful, authorized, not deceptively edited, not misleading, and does not violate any privacy, publicity, biometric, consumer health data, medical confidentiality, professional, advertising, intellectual property, or consumer protection law.
I understand that I am solely responsible for uploaded content and agree to indemnify Constella AI Technologies, Inc. for any claims arising from unauthorized, misleading, unlawful, or non-compliant content.
Provider No-Circumvention Acknowledgment
I agree that I will not use Constella to identify, solicit, or acquire clients and then intentionally move those clients off-platform to avoid Constella fees, booking systems, lead fees, commissions, subscriptions, or marketplace protections. I understand that violation of this obligation may result in suspension, termination, withheld payouts, recovery of fees, and legal action.
Provider Client Data Acknowledgment
I agree to use Client Data obtained through Constella only to provide requested services, communicate about bookings, comply with law, and perform legitimate provider obligations. I will not sell, rent, scrape, export, misuse, spam, upload to unauthorized AI tools, or use Client Data for unrelated marketing without proper consent.
