§ 04

Constella Is a Technology Platform, Not the Provider of Beauty or Medical Services

Constella operates a technology platform that helps users discover, evaluate, match with, communicate with, book, and engage with independent Providers and related services.

Constella does not itself provide lash, brow, waxing, skincare, facials, medspa, injectables, laser, bridal beauty, medical, wellness, professional advice, diagnosis, treatment, or hands-on personal care services unless expressly stated in a separate written agreement signed by Constella.

Providers are independent third parties. They are not employees, agents, partners, joint venturers, franchisees, representatives, or contractors of Constella merely because they appear on or use the Services.

Each Provider is solely responsible for:

  • Licensure
  • Certifications
  • Training
  • Insurance
  • Service quality
  • Professional judgment
  • Safety protocols
  • Client intake
  • Consent forms
  • Treatment decisions
  • Aftercare instructions
  • Regulatory compliance
  • Taxes
  • Pricing
  • Refunds, unless otherwise stated
  • Client communications
  • Professional conduct
  • Results and outcomes

Constella does not guarantee any Provider's qualifications, availability, results, safety, legality, suitability, or performance.

§ 05

AI Matching, Recommendations, and Limitations

Constella may use artificial intelligence, machine learning, algorithms, automation, user preferences, profile information, Visual Data, provider data, reviews, booking history, service history, location, pricing, availability, and other information to generate matches, rankings, recommendations, scores, descriptions, insights, or suggestions.

You understand and agree that:

  • AI-generated recommendations are informational and assistive only.
  • AI results may be incomplete, inaccurate, biased, outdated, or unsuitable.
  • AI matching does not guarantee satisfaction, safety, availability, suitability, quality, or outcome.
  • You remain responsible for evaluating Providers and deciding whether to book or purchase.
  • Providers remain responsible for professional judgment and service delivery.
  • Constella does not guarantee that a match is the “best” provider in an absolute sense.
  • Match scores, rankings, badges, categories, or recommendations are not warranties.

Constella may modify, test, improve, limit, suspend, or discontinue any AI feature at any time.

§ 06

No Medical Advice, No Diagnosis, No Emergency Use

The Services may include medspa, skincare, aesthetics, wellness, beauty, cosmetic, or personal care information. Such information is provided for general informational purposes only and is not medical advice.

Constella does not provide medical diagnosis, treatment, prescription, emergency care, telemedicine, clinical judgment, or licensed healthcare services through the general Services.

You should consult a qualified licensed professional before receiving any medical, cosmetic, aesthetic, dermatologic, injectable, laser, chemical peel, microneedling, body contouring, or other regulated service.

The Services are not intended for emergencies. If you are experiencing a medical emergency, call emergency services immediately.

§ 07

Accounts and Security

You may be required to create an account to access certain features.

You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must promptly notify Constella of any unauthorized access, suspected breach, or misuse of your account.

Constella may suspend, restrict, or terminate your account if we believe your account has been compromised, misused, used fraudulently, or used in violation of these Terms.

§ 08

User Responsibilities

You agree not to:

  • Use the Services for unlawful, deceptive, abusive, harassing, discriminatory, defamatory, infringing, fraudulent, or harmful purposes.
  • Impersonate another person or entity.
  • Submit false, misleading, incomplete, or deceptive information.
  • Upload content that infringes intellectual property, privacy, publicity, or contractual rights.
  • Post fake reviews, manipulated testimonials, paid undisclosed endorsements, or misleading before-and-after results.
  • Scrape, crawl, index, harvest, or extract data except as expressly permitted.
  • Reverse engineer, decompile, copy, resell, or exploit the Services.
  • Interfere with security features or platform operations.
  • Use bots, scripts, fake accounts, or automated systems without authorization.
  • Attempt to manipulate rankings, reviews, matches, algorithms, or availability.
  • Upload malware, malicious code, spyware, or harmful files.
  • Use the Services to discriminate based on protected characteristics.
  • Use another person's image, identity, likeness, or data without consent.
  • Submit sensitive information unless requested through authorized platform fields.

Constella may remove content, limit access, suspend accounts, or take legal action for violations.

§ 09

Beauty Passport

Beauty Passport is designed to personalize beauty, wellness, aesthetics, provider, service, and product recommendations.

By creating or using a Beauty Passport, you authorize Constella to use the information you provide, subject to the Privacy Policy and applicable consents, to operate, personalize, improve, secure, and analyze the Services.

Your Beauty Passport may include information such as:

You are responsible for ensuring that the information you provide is accurate and that you have the right to provide it.

You may request deletion or modification of certain account information as described in the Privacy Policy, subject to legal, security, operational, fraud-prevention, tax, accounting, dispute-resolution, and legitimate business retention requirements.

§ 10

Visual Data, Photos, and Image Analysis

Certain Services may allow you to upload or submit photos, videos, selfies, before-and-after images, facial images, eye images, brow images, lash images, skin images, or related visual materials.

By submitting Visual Data, you represent and warrant that:

  • You own or have the necessary rights and permissions to submit it.
  • The Visual Data does not violate another person's privacy, publicity, intellectual property, or contractual rights.
  • If the Visual Data includes another person, you have obtained all required consents.
  • The Visual Data is accurate and not materially altered in a deceptive way if used for reviews, results, portfolios, or before-and-after displays.

Constella may use Visual Data to provide matching, analysis, recommendations, personalization, safety features, quality review, fraud detection, platform improvement, user support, and related Services, subject to our Privacy Policy and any required consent.

If applicable law treats certain image-derived measurements or scans as biometric identifiers or biometric information, Constella will seek separate consent where required and may provide additional biometric, visual analysis, retention, and destruction disclosures.

You should not upload photos of minors or third parties unless you have legal authority and all necessary consents.

§ 11

User Content License

You retain ownership of your User Content.

However, by submitting User Content to the Services, you grant Constella a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, perform, publish, distribute, modify, adapt, translate, create derivative works from, use, analyze, and otherwise process such User Content as reasonably necessary to operate, provide, improve, personalize, market, secure, and develop the Services.

For public User Content — including reviews, ratings, testimonials, portfolio images, business profiles, provider bios, before-and-after galleries, and public-facing posts — this license includes the right to display such content on the Services, in search results, in marketing materials, in social content, in advertisements, and in partner materials, subject to applicable law and any required releases.

Constella may remove, edit, reject, or restrict User Content at any time, but has no obligation to monitor all User Content.

§ 12

Reviews, Testimonials, Ratings, and Before-and-After Content

Reviews, testimonials, ratings, and before-and-after content must be truthful, accurate, authentic, and based on genuine experiences.

You may not:

  • Submit fake reviews.
  • Submit reviews for services you did not receive.
  • Pay for reviews without proper disclosure.
  • Post misleading endorsements.
  • Suppress or threaten negative reviews improperly.
  • Misrepresent outcomes.
  • Use altered images without disclosure.
  • Create fake accounts to manipulate ratings.
  • Review your own business as a fake client.
  • Post competitor attacks, harassment, or defamatory content.

Providers may not condition refunds, discounts, or benefits on the submission or removal of reviews except as permitted by law and clearly disclosed.

Constella may moderate, remove, refuse, label, investigate, or report reviews that appear fraudulent, deceptive, abusive, incentivized without disclosure, or otherwise unlawful.

§ 13

Provider Listings, Badges, and Verification

Constella may display provider profiles, ratings, match scores, badges, availability, portfolios, specialties, prices, certifications, or other information.

Any Constella Verified badge, specialty badge, match score, ranking, recommendation, or designation is based on criteria determined by Constella and may change over time.

Badges do not guarantee service quality, licensure, safety, legality, availability, suitability, results, or satisfaction.

Constella may remove, modify, revoke, suspend, or decline badges or verification status at any time.

Users are responsible for conducting their own due diligence before booking a Provider.

§ 14

Booking, Scheduling, Cancellations, and Provider Policies

The Services may allow Clients to request, schedule, book, modify, or cancel appointments with Providers.

Each booking may be subject to Provider-specific policies, including cancellation windows, deposits, no-show fees, late fees, rescheduling terms, intake forms, health disclosures, consent forms, refund policies, and service restrictions.

By booking through the Services, you agree to:

  • Read and comply with applicable Provider policies.
  • Arrive on time.
  • Provide accurate intake and safety information.
  • Cancel or reschedule within applicable timeframes.
  • Pay applicable deposits, fees, and charges.

§ 15

Payments, Fees, Taxes, and Payment Processors

Constella may facilitate payments for subscriptions, bookings, deposits, products, commissions, fees, add-ons, software, advertising, verification, or other offerings.

Payments may be processed by third-party payment processors. By submitting payment information, you authorize Constella and its payment processors to charge your selected payment method for amounts due.

You are responsible for all applicable taxes, fees, and charges.

Constella may change fees, billing methods, or pricing at any time, subject to applicable law and any active subscription terms.

Constella is not responsible for payment processor errors, bank fees, overdraft fees, card issuer fees, currency conversion charges, or payment method limitations.

§ 16

Subscriptions, Trials, Renewal, and Cancellation

Certain Services may be offered on a subscription, membership, trial, promotional, or recurring billing basis.

By enrolling in a recurring plan, you authorize Constella to charge your payment method on a recurring basis until canceled.

Subscription terms, pricing, renewal frequency, cancellation instructions, trial terms, and material billing terms will be disclosed at or before purchase.

Unless otherwise stated, subscriptions automatically renew until canceled.

You may cancel according to the cancellation instructions provided in your account or order flow. Cancellation prevents future renewal charges but does not automatically entitle you to a refund for prior charges, partial months, used services, or promotional periods unless required by law or expressly stated.

Constella may offer trials, discounts, or promotional pricing. At the end of a trial or promotional period, standard pricing may apply if disclosed and accepted.

§ 17

Refunds

Unless otherwise stated in a separate written policy or required by law:

  • Platform fees are non-refundable.
  • Subscription fees are non-refundable once charged.
  • Booking deposits may be non-refundable depending on Provider policy.
  • No-show fees and late cancellation fees may be charged according to Provider policy.
  • Product refunds are subject to the applicable merchant, product, or return policy.
  • Constella may issue credits, refunds, or concessions at its sole discretion.

Any discretionary refund or credit does not create an obligation to provide similar treatment in the future.

§ 18

Product Recommendations and Commerce

Constella may recommend, advertise, sell, or link to beauty, skincare, lash, brow, waxing, wellness, medspa aftercare, or related products.

Product recommendations may be based on user preferences, service history, Visual Data, provider input, AI analysis, affiliate relationships, sponsorships, or brand partnerships.

Constella may receive compensation, commissions, affiliate fees, referral fees, placement fees, sponsorship fees, advertising revenue, revenue share, or other consideration from product brands, merchants, providers, or partners.

Product information is provided for general informational purposes only and does not replace professional advice. You are responsible for reading labels, ingredients, warnings, instructions, contraindications, and allergy information before using any product.

Constella does not guarantee that any product will produce a particular result.

§ 19

Third-Party Services and Links

The Services may contain links, integrations, APIs, embeds, payment tools, booking tools, calendars, maps, messaging tools, product links, or other Third-Party Services.

Constella does not control and is not responsible for Third-Party Services.

Your use of Third-Party Services is governed by their own terms, privacy policies, and practices.

Constella is not liable for Third-Party Services, including their availability, accuracy, security, privacy practices, content, products, services, fees, or failures.

§ 20

Communications and Consent to Electronic Communications

You consent to receive communications from Constella electronically, including emails, texts, push notifications, in-app messages, service updates, transactional messages, booking confirmations, reminders, support messages, legal notices, and promotional communications.

You may opt out of promotional communications as required by law. Transactional or service-related communications may continue even if you opt out of marketing.

You agree that electronic notices satisfy any legal requirement that communications be in writing.

§ 21

SMS / Text Messaging

If you provide a mobile number and opt in to SMS communications, you authorize Constella and its service providers to send text messages to that number, including booking reminders, account notifications, verification codes, promotional messages, and other communications.

Message and data rates may apply.

Consent to marketing texts is not required to purchase goods or services.

You may opt out by following instructions in the message, such as replying STOP where supported.

§ 22

Privacy

Your use of the Services is subject to the Constella Privacy Policy.

The Privacy Policy describes how Constella collects, uses, shares, stores, protects, and deletes personal information.

If there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy controls as to privacy-specific matters.

You agree not to submit highly sensitive information unless requested through authorized platform features and protected by applicable disclosures and consents.

§ 23

Biometric, Sensitive, and Visual Analysis Data

Certain Services may involve image analysis, facial mapping, eye/lash/brow/skin-related analysis, or other visual processing.

Constella will provide additional notices and obtain consents where required by applicable biometric, privacy, consumer protection, or data protection laws.

You may not submit biometric, image, or sensitive data of another person without lawful authority and all required consent.

Constella may restrict certain features by jurisdiction if required by law or risk controls.

§ 24

Intellectual Property

The Services, including software, technology, algorithms, AI models, designs, graphics, logos, trade names, trademarks, service marks, interfaces, text, workflows, databases, compilation, content, and all related intellectual property, are owned by Constella or its licensors.

You agree that Constella has no obligation to treat feedback as confidential.

§ 26

Platform Changes and Availability

Constella may modify, suspend, discontinue, limit, or replace any part of the Services at any time.

Constella may perform maintenance, updates, tests, or changes without notice.

§ 27

Beta Features

Constella may offer beta, pilot, experimental, early access, or preview features.

Beta features are provided “as is,” may be unstable, may change without notice, may be discontinued at any time, and may not be relied on for critical decisions.

Constella disclaims all liability arising from beta features to the fullest extent permitted by law.

§ 28

Prohibited Competitive Use

You may not access or use the Services to build, train, improve, benchmark, or support a competing product, service, marketplace, AI model, provider database, recommendation engine, booking platform, beauty matching system, or commercial dataset without Constella's prior written consent.

You may not scrape, export, harvest, copy, or reproduce provider data, client data, match data, reviews, pricing, photos, portfolios, or platform content for competitive purposes.

You agree not to disclose or misuse confidential information obtained through the Services.

§ 30

Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is,” “as available,” and “with all faults.”

Constella disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, security, and course of dealing.

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

§ 31

To the fullest extent permitted by law, Constella and its officers, directors, employees, contractors, affiliates, investors, licensors, service providers, successors, and assigns will not be liable for indirect, incidental, consequential, special, exemplary, punitive, enhanced, or lost-profit damages, including lost revenue, lost data, loss of goodwill, personal dissatisfaction, emotional distress, reputational harm, business interruption, service dissatisfaction, product dissatisfaction, or provider-related claims.

To the fullest extent permitted by law, Constella's total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid directly to Constella in the three months before the event giving rise to the claim; or
  • One hundred dollars.

The above limitation applies regardless of legal theory, whether based in contract, tort, negligence, strict liability, statute, warranty, or otherwise, even if Constella has been advised of the possibility of damages.

§ 33

Indemnification

You agree to defend, indemnify, and hold harmless Constella and its officers, directors, employees, contractors, affiliates, investors, licensors, service providers, successors, and assigns from and against any claims, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

Suspension and Termination

Constella may suspend, restrict, deactivate, or terminate your account or access to the Services at any time if Constella believes you violated these Terms, created risk, caused harm, engaged in fraud, violated law, misused the Services, or for any other lawful reason.

You may stop using the Services at any time.

Termination does not relieve you of obligations incurred before termination, including payment obligations, indemnity obligations, confidentiality obligations, intellectual property obligations, dispute resolution obligations, and limitations of liability.

§ 35

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless a different governing law is required by applicable consumer protection law.

§ 36

Informal Dispute Resolution

Before initiating arbitration or litigation, you agree to first contact Constella at legal@constellamatch.com with a written notice describing your dispute, the relief requested, and your contact information.

The parties will attempt in good faith to resolve the dispute informally for at least 30 days.

This informal process is a condition precedent to arbitration or litigation, except where emergency injunctive relief is required.

§ 37

Binding Arbitration

Except for excluded claims, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association or another mutually agreed arbitration provider.

The arbitration will be conducted in English by a single arbitrator.

The arbitrator may award individual relief available in court, subject to these Terms.

The arbitrator may not conduct class, collective, consolidated, private attorney general, or representative proceedings.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Changes to These Terms

Constella may update these Terms from time to time.

If changes are material, Constella may provide notice through the Services, by email, or by other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes acceptance.

If you do not agree to updated Terms, you must stop using the Services.

§ 41

Miscellaneous

These Terms, together with incorporated policies, constitute the entire agreement between you and Constella regarding the Services.

If any provision is found unenforceable, the remaining provisions remain in effect.

Constella's failure to enforce a provision is not a waiver.

You may not assign these Terms without Constella's prior written consent.

Constella may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, or by operation of law.
